Terms of service
These terms govern use of the Coherence workspace at app.coherenceltd.com, its API and its MCP server (the “Service”), provided by Coherence Limited, a company registered in the Republic of Cyprus with registration number HE 490848 and registered office at 195 Arch. Makariou III, 3030 Limassol, Cyprus (“Coherence”, “we”).
1. Who may use the Service
1.1 Business use only. The Service is for businesses and professionals, including sole traders and freelancers. It is not offered to consumers. When you create a workspace you confirm that you are using the Service for your trade, business, craft or profession. We may close a workspace that appears to be used as a consumer, and will refund any fees paid.
1.2 Where we offer it. The Service is not currently offered in the United Kingdom. You may not create a workspace for, or buy a licence for, a business established in the United Kingdom, and we may close any such workspace and refund any fees paid.
1.3 Age. You must be at least 18 years old.
1.4 Accepting these terms. When you create a workspace, you accept these terms for yourself and for the business the workspace is for, and confirm you are authorised to do so. When you join a workspace by invitation, you accept these terms for yourself and use the Service on behalf of that workspace's business. We record the version you accepted.
2. Accounts and workspaces
2.1 Signing in. You sign in with a one-time code or link sent to your email address. Keep access to your email secure. You are responsible for activity in your account, and must tell us promptly at office@coherenceltd.com if you think someone else has used it.
2.2 Workspaces. A workspace belongs to the business that created it. Its owners and admins decide who has access, which accounts are connected and which tools are licensed, and can remove members. The business is responsible for its members' use of the Service.
2.3 Accurate details. Keep your name, company details and billing details accurate.
3. Tools, licences and fees
3.1 Licences. Each tool is available to workspaces that hold a licence for it. Paid licences are governed by the Licence Terms, which include the tool's schedule, pricing, renewal, cancellation and refund rules. A workspace owner or admin accepts them at checkout.
3.2 Prices and tax. Prices are shown in US dollars, per month, before tax. We add VAT or sales tax where the law requires. Card payments are processed by Stripe.
3.3 Cancelling. Owners and admins can cancel a paid licence at any time from the Billing page. It ends at the end of the paid month.
4. Your data
4.1 You own it. Your business keeps ownership of the data it submits or connects and of the outputs it creates with the tools. We use it only to provide the Service, as described in the Privacy Policy and the Data Processing Addendum, which applies to personal data we process on your business's behalf.
4.2 Connected accounts. When you connect an account such as Google or Revolut Business, you confirm you are allowed to, and you authorise us to use that access only for the features your workspace turns on. Revolut access is read-only. You can disconnect at any time under Connections.
4.3 Export and leaving. You can ask for an export of your workspace's data at any time, and move to another provider, as set out in Clause 5.6 of the Licence Terms. There is no charge for export or switching.
4.4 Closing a workspace. An owner can ask us to close a workspace at office@coherenceltd.com. We delete its data within 90 days, except records we must keep by law, such as billing and tax records.
5. Acceptable use
You must not use the Service to:
- break any law, or infringe anyone's rights, including privacy and intellectual property;
- upload malware or content that is unlawful, including child sexual abuse material, terrorist content or content that incites violence or hatred;
- access, or try to access, another workspace or anything you are not authorised to access;
- interfere with the Service or its security, probe or load-test it, or work around usage limits;
- scrape or systematically extract the Service's content or databases, or use them to build a competing product or train an AI model;
- resell or share access outside your business without our written agreement;
- send spam or unsolicited messages; or
- break the terms of a platform you connect, such as Google, Revolut or TikTok.
6. Reporting illegal content
The Service stores content that your business submits and does not publish it to the public. If you believe content in the Service is illegal, email office@coherenceltd.com with an explanation of why, where the content is, your name and email (unless the report concerns child sexual abuse material) and a statement that the report is accurate and made in good faith. We will review it promptly and tell you what we decide. If we restrict content or an account, we tell the affected user why and how they can challenge the decision. This is our point of contact for users and for EU authorities under the Digital Services Act; we communicate in English.
7. AI features
7.1 AI-generated content. Several tools use AI models to draft, classify, match and answer questions. The Service tells you where content is AI-generated, and the Seller Advisor chat is an AI system, not a person.
7.2 Check outputs. AI outputs can be wrong or out of date. Review them before relying on them, including matches made before receipts are sent to your bank, and any product claims before they are published. Outputs are not legal, tax, accounting or financial advice.
7.3 Publishing. If you publish content made with the Service, you are responsible for it, including any disclosure or AI-labelling rules that apply to you.
8. Our intellectual property
Coherence owns the Service, its software, databases and content, and all improvements to them. These terms give you no rights in them except to use the Service as they allow. If you send us feedback, we may use it freely.
9. Availability and changes
We work to keep the Service available and secure but do not guarantee it will be uninterrupted or error-free. Tools marked Beta are still being developed. We may change or discontinue features; we will give at least 30 days' notice of changes that materially reduce a paid tool, as set out in the Licence Terms.
10. Suspension and termination
We may suspend or close an account or workspace that breaches these terms, puts the Service or others at risk, or where the law requires. Where reasonably possible we tell you first, explain why, and give you a chance to fix the problem. You can stop using the Service at any time.
11. Liability
11.1 The Service is provided to businesses. To the extent the law allows, we give no warranties beyond those in these terms and the Licence Terms.
11.2 To the extent the law allows, Coherence is not liable for loss of profit, revenue, goodwill or data, or for indirect or consequential loss, and our total liability is limited to the fees your business paid us in the 12 months before the claim (or 100 US dollars if it paid nothing).
11.3 Nothing in these terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or anything else that cannot be limited by law.
12. Changes to these terms
We may update these terms. We will tell workspace owners and admins by email at least 30 days before a material change takes effect. If you do not agree, you can stop using the Service and cancel before then. The version and date are shown at the top of this page.
13. Law and disputes
These terms are governed by the laws of the Republic of Cyprus, and the courts of the Republic of Cyprus have exclusive jurisdiction. Before starting proceedings, please contact us at office@coherenceltd.com so we can try to resolve the matter.
